Overview A leading financial services organization is seeking an experienced Senior Counsel to join its high-performing Private Investments legal team . This role is an excellent opportunity for a private funds lawyer looking to transition from BigLaw to an in-house environment while maintaining exposure to sophisticated, complex investment transactions. You will work across private equity, private debt, and high-yield credit, providing legal advice on fund investments, co-investments, and other private investment structures. This is a hands-on, autonomous role with ownership of multiple transactions, direct interaction with business leaders, and the ability to influence deal strategy at a senior level. What You'll Do Provide legal support on private fund investments, co-investments, and related structures. Negotiate, review, and manage subscription agreements, side letters, fund agreements, note purchase agreements, amendments, waivers, and restructurings. Serve as a liaison with outside counsel and internal business teams. Independently manage multiple simultaneous investment transactions, guiding deals from inception to closing. Advise on regulatory and compliance matters impacting private investment activities. Mentor and collaborate with other in-house lawyers and business stakeholders, providing clear and actionable legal advice. Anticipate legal risks and proactively advise business teams to enable strategic investment decisions. Who You Are 5+ years of experience at a top-tier law firm, ideally in a private funds / investment funds practice . Significant experience representing institutional investors or sponsors in private equity fund investments. Co-investment experience is a plus. Expertise in fund structures, side letters, secondaries, GP-led transactions, and complex fund agreements. Comfortable juggling multiple deals, negotiating with sophisticated counterparties, and driving transactions to completion. Demonstrated ability to work autonomously while collaborating effectively across teams. Strong interpersonal skills, thick skin, and the ability to navigate opinionated business teams with professionalism. Licensed to practice law in any U.S. jurisdiction; must be able to waive in or pass the Minnesota Bar.
