Job Description

Summary

The Exemplar Legal team is growing, and we are seeking an experienced Corporate Attorney who is values-aligned, loves serving the customers we serve, enjoys working as a team, is positive, and growth oriented. 

 

If you are an experienced, well-rounded corporate attorney who can handle sophisticated transactions, securities, private equity investment deals, fund formation, private offerings, M&A, partnerships, and contracts of all kinds, this role may be for you.

 

If you are not particularly fond of the billable-hour model, and yet want to work into something with long-term growth potential, this role is for you.

 

Our perfect candidate is also a balanced and positive person with diverse interests, willing to leverage the experience of a team of like-minded professionals who deeply care about being accountable to providing the best client-service.

 

Location:  California (LA Ideal), but other markets are OK.  This role need not report to the office, although should be accessible for customer meetings, team meetings, and team building.

 

Requirements:

Technically, ideal candidates should satisfy the following requirements:

  • Ability to close, proactively and genuinely care for customers, and find ways to add value to their growing business.  No need to be an originator.
  • Experience working with emerging enterprises and mid-market companies, including general corporate work, governance and compliance matters.

 

  • Experience drafting, negotiating and reviewing commercial contracts.
  • Broad experience in private placements and public offerings, securities, secured transactions, tax, and business transactions of all types.
  • Broad experience in all aspects of mergers and acquisitions, including drafting and negotiating acquisition agreements and ancillary documents, and otherwise managing and closing transactions.
  • Ability to mind the customer, advise, guide, plan ahead, and help them anticipate and budget for needs.
  • Experience making a value proposition to customers, getting buy-in, agreement on strategy, before proceeding with work.

  • Excellent business judgment, ability to think strategically and to give practical advice.
  • Great communication and problem-solving skills, champion at brainstorming ideas and at minding the customers. 
  • Ability to give not just legal advice, but business advice and life insights from years of experience.   
  • Ability to interface effectively with all levels of an organization and to gain the trust and confidence of others.
  • Ability to work well both independently and as part of a highly collaborative team.
  • Strong work ethic and ability to make decisions, multi-task, prioritize and follow through on numerous projects simultaneously.
  • Ambitious/highly motivated, strong work ethic and leadership skills, interest in taking on increased levels of responsibility.

Qualifications

  • Juris Doctorate Degree (JD) from an accredited law school required
  • Minimum 10 years of relevant corporate and business legal experience.
