Position Summary:
We are seeking an experienced attorney to join our Legal Department and serve as a key advisor across the full lifecycle of Hunt Energy Companys power infrastructure. Reporting directly to the General Counsel, this attorney will provide legal counsel on project planning, design, construction, operation, financing, acquisition and disposition.
Responsibilities:
Project Planning, Design, Construction and Operation
- Draft, negotiate, and manage Engineering, Procurement and Construction (EPC) agreements and related contracts.
- Advise on planning and permitting matters arising during project development and construction phases.
- Negotiate and manage real property agreements, including land leases, easements, and site access arrangements.
- Negotiate Master Service Agreements (MSAs) and vendor contracts with equipment suppliers, subcontractors, and service providers.
- Identify and manage legal risks across the construction timeline in coordination with project and development teams.
- Draft and negotiate Operations & Maintenance (O&M) agreements with third-party service providers.
Project Finance
- Support project finance transactions, including construction financing, term loan facilities, and tax equity structures.
- Coordinate with lenders counsel and internal finance teams on loan documentation, security packages, and closing requirements.
- Review and negotiate credit agreements, intercreditor arrangements, and collateral documents.
Acquisitions & Dispositions
- Lead or support legal due diligence for acquisitions of development-stage and operating power infrastructure assets.
- Draft and negotiate purchase and sale agreements, membership interest purchase agreements, and ancillary transaction documents.
- Coordinate with outside counsel, investment banking advisors, and internal business teams through signing and closing.
Travel:
The role requires periodic travel to conferences, partner meetings and project sites.
Required Skills:
- Strong drafting, negotiating, and analytical skills with the ability to manage multiple matters simultaneously.
- Excellent business judgment and communication skills; comfortable advising senior leadership directly.
Required Experience:
- Juris Doctor from an accredited law school; admission to the Texas State Bar (or eligibility for admission).
- 7+ years of experience in energy, infrastructure, or project finance law, either in private practice or in-house.
- Demonstrated experience across at least two of the following: EPC/construction contracts, MSA/vendor and O&M agreements, project finance transactions, or M&A in the energy sector.
- Experience with power generation, transmission, or utility-scale renewable energy assets is preferred.
