Executive Compensation & Employee Benefits Associate Attorney Requirements & Qualifications
- Juris Doctor (JD) from an accredited law school
- Active bar membership and good standing in the relevant jurisdiction
- 36 years of experience in executive compensation, employee benefits, tax, or transactional practice
- Proven experience advising on M&A transactions for public and private companies
- Strong drafting ability for executive compensation arrangements and equity incentive plans
- Excellent analytical, communication, and writing skills
- Ability to thrive in a collaborative, team-oriented legal environment
Executive Compensation & Employee Benefits Associate Attorney Preferred Background & Skills
- Experience in a major law firm
- Background with public company representation
- Familiarity with equity and deferred compensation arrangements
- Exposure to complex corporate transactions and securities-related matters
Executive Compensation & Employee Benefits Associate Attorney Day-to-Day Responsibilities
- Advise clients on executive compensation and employee benefits matters in mergers, acquisitions, restructurings, and related transactions
- Draft and negotiate executive employment, severance, retention, and change-in-control agreements
- Design and implement equity incentive and stock option plans, RSUs, and performance-based compensation arrangements
- Counsel clients on tax and compliance matters involving Internal Revenue Code provisions (Sections 83, 409A, 280G, 162(m), 421424)
- Provide guidance on qualified and nonqualified retirement plans and welfare benefit plans
- Collaborate closely with corporate, tax, and securities teams on strategic client matters
