Our client, a leading organization in corporate governance and legal support, is seeking a Corporate Paralegal Secretary to join their team. As a Corporate Paralegal Secretary, you will be part of the Legal Department supporting Board and Corporate Governance functions. The ideal candidate will demonstrate strong organizational skills, attention to detail, and proactive communication, which will align successfully in the organization.

Location: Owings Mills, MD
Pay Range: $35/hr - $40/hr
What's the Job?
- Support the Board of Directors under attorney oversight, ensuring effective coordination and execution of board governance activities for multiple subsidiary boards, including coordination of periodic meetings.
- Prepare, compile, and distribute board meeting materials using a secure board portal; attend meetings to take detailed minutes and draft them for attorney review, revision, and formal approval.
- Prepare and maintain legal documents and files, including drafting briefs, pleadings, appeals, wills, contracts, real estate closing statements, and affidavits, as well as filing pleadings with court clerks and delivering subpoenas.
- Manage and maintain the lifecycle of board documentation and corporate records, including resolutions and certificates; provide administrative and operational support to ensure timely completion of board-related activities.
- Assist Senior Corporate Legal Secretaries with board-related deliverables, including drafting memos, collecting and summarizing information, and preparing communications.
- Manage and respond to shareholder communications while coordinating with legal and business stakeholders to ensure timely, accurate handling of inquiries, approvals, appointments, and governance actions.
- Gather and analyze research data such as statutes, decisions, legal articles, and codes; Investigate facts and law of cases to determine causes of action and support case preparation.
What's Needed?
- Bachelor's degree in legal studies or Paralegal Certificate, and/or equivalent training required with 4-5 years of relevant experience in corporate law or corporate governance support.
- Extensive corporate governance and board support experience, including serving as liaison to board members and shareholders, preparing board communications, and supporting board-level interactions across multiple organizations.
- Strong background in drafting board materials and corporate records, including drafting board resolutions, maintaining minutes, and supporting board meeting documentation and corporate recordkeeping.
- Expertise in entity management and subsidiary governance, including managing multiple domestic and international entities, overseeing entity formation/dissolution, reorganizations, and ensuring ongoing compliance across jurisdictions.
- Experienced in foundational corporate documentation and filings, including regulatory filings, SEC reporting, governance documentation, and supporting corporate records (e.g., resolutions, compliance records, and related governance materials).
- Strong written and verbal communication skills, with experience interacting with senior leadership and board members.
- Excellent organizational and communication skills, with the ability to handle multiple priorities.
