Overview : Our non-profit client is seeking an experienced Interim Corporate Governance Paralegal to assist on a full-time basis for the next 3+ months. This is a highly visible, fast paced and dynamic role that is ideal for an experienced professional that has worked with high level volunteers and/or executives on governance and corporate affairs matters and is ready to hit the ground running.

Responsibilities Include:
- Directs the research, development, organization and continuing review of the organizations governance framework, models, policies, procedures and processes;
- Responsible for overall conduct of the Board of Directors; supports the team that is responsible for materials development and dissemination, preparation and maintenance of governance documents, documentation and archiving of official corporate records and governance documents (e.g., Bylaws, meeting minutes & audit trail), maintaining Board member biographies and records; evaluations, annual Board giving campaign; setting of meeting schedules and general management of meetings;
- Serves as primary point of contact for Board and leadership volunteers and team members for general information on governance and volunteers;
- In close collaboration with CEOs office, manages Board including agenda development, coordination of timely responses to action items, liaison with Board members, implements and maintains recurring board meeting agenda item tracking system and ensures related reports and updates are delivered, as appropriate;
- Responsible for overall design and conduct of the annual orientation of new Board members, including agenda and materials development and dissemination, assigning mentors, and ensuring that all members are prepared for service on the Board;
- Responsible for the development and implementation of standard operating policies and procedures and the annual governance;
- Overseas the Policy and Reference database and ensures that each department is in compliance by enforcing the policy process;
- Collaborates with Senior Director, Legal Operations to develop and ensures compliance with the annual budget for the governance and corporate affairs, including reviewing monthly budget reports, participating in functional allocation discussions, addressing discrepancies, ensuring appropriate cost savings mechanisms are identified and implemented.
- 5+ years of experience handling corporate governance administrative matters for large non-profits or in a commercial setting
- Knowledge of finance, budgeting, and cost control procedures
- Experience working directly with executives and members of a board
- Extremely strong organizational skills and attention to detail.
- Experience working in a team oriented, fast paced, high volume and demanding professional environment with a capacity to prioritize competing demands and achieve results
- Excellent verbal and written communication skills including the ability to interface in a professional, cordial, confident and well-informed manner with volunteer and leadership;
- Ability to present effectively on governance related topics;
Pay: $60 per hour
