An established and growing law practice is seeking a Senior Corporate Securities Attorney with experience in private securities offerings, private fund formation, and investment adviser compliance. This role offers direct client contact, sophisticated transactional work, and the opportunity to contribute to a growing securities practice.

Job Responsibilities:
  • Advise clients on private securities offerings, including exempt transactions under Regulation D, Regulation A, and Regulation S.
  • Structure and manage private investment fund formations, including venture capital, private equity, and real estate investment vehicles.
  • Draft and review private placement memoranda, subscription agreements, operating agreements, and related offering documents.
  • Counsel registered investment advisers (RIAs), fund managers, and investment sponsors on securities regulations, compliance obligations, and governance matters.
  • Identify regulatory and corporate governance risks and provide practical legal solutions for business clients.
  • Mentor junior attorneys and legal professionals while managing multiple client matters and advisor relationships.
Job Requirements:
  • Juris Doctor (JD) from an accredited law school and active bar admission in Colorado or eligibility for admission.
  • Minimum of 5 years of experience practicing securities law with substantial exposure to private offerings and exempt securities transactions.
  • Demonstrated experience with private fund formation and advising investment sponsors, fund managers, or RIAs.
  • Strong knowledge of federal and state securities laws, SEC regulations, disclosure requirements, and corporate governance principles.
  • Experience preparing private placement memoranda and other complex transactional and disclosure documents.
  • Excellent drafting, analytical, communication, and client management skills with the ability to work independently.
