Cross-Border Corporate Associate Attorney
Responsibilities:
- Participate in transactions involving businesses and investors operating throughout the United States and Latin America
- Provide ongoing corporate governance and strategic business counseling to emerging and growth-stage companies
- Collaborate with clients, investors, founders, and cross-functional legal teams on domestic and international matters
- Draft, review, and negotiate transaction documents, shareholder agreements, investment agreements, and ancillary corporate documentation
- Assist clients with mergers, acquisitions, divestitures, restructurings, and other strategic corporate transactions
Qualification:
- J.D. from an accredited institution
- 2-6 years of relevant corporate transactional experience
- Exposure to cross-border transactions involving Latin American jurisdictions preferred.
- Prior experience practicing within a nationally recognized law firm
- Experience handling mergers and acquisitions, private investment transactions, and general corporate matters
- Background representing high-growth companies, investment funds, institutional investors, or private capital sponsors
- Active Bar admission
