Business Litigation & Transaction LawyerPosition OverviewWe are seeking a skilled Business Litigation & Transaction Lawyer to advise and represent corporate and entrepreneurial clients on a broad range of commercial disputes and business transactions. The role combines courtroom advocacy and transactional drafting to protect client interests in matters including breach of contract, commercial collections, entity formations, licensing, vendor and sale agreements, and regulatory filings with the Secretary of State. The ideal candidate is a proactive attorney who balances litigation strategy with practical transactional counsel to support business growth and risk management.Key ResponsibilitiesAdvise clients on business litigation and transactional matters, including strategy for breach of contract claims, commercial collections, and dispute resolution.Draft, review, and negotiate a wide range of agreements including vendor contracts, licensing agreements, service agreements, and business sale agreements.Counsel clients on entity formations and governance, prepare and file formation documents and annual reports with the Secretary of State, and draft LLC operating agreements and corporate bylaws.Handle pre-litigation matters and represent clients in state and federal courts and arbitration, managing pleadings, motions, discovery, and hearings.Perform transactional due diligence and risk assessments in acquisitions, dispositions, and other corporate transactions.Work closely with clients to structure and document commercial transactions, ensuring compliance with regulatory and licensing requirements.Collaborate with partners and supervise associates and paralegals to meet matter budgets and client deadlines.Maintain accurate matter files, billable records, and clear client communications; develop and maintain client relationships and business development efforts.Provide practical, business-oriented legal counsel to entrepreneurs, startups, small and mid-market companies to support growth and minimize legal exposure.QualificationsJuris Doctorate (J.D.) from an accredited law school and active bar admission to practice in the hiring jurisdiction.3+ years of experience practicing business litigation and transactional law; a mix of courtroom and transactional experience strongly preferred.Demonstrated experience with Business Litigation, including breach of contract litigation, commercial collections, and motion practice.Proven transactional skills: drafting and negotiating agreements, business sale agreements, vendor contracts, licensing agreements, and forming LLCs and other entities.Familiarity with Secretary of State filing requirements, entity maintenance, and corporate governance matters.Strong legal research, writing, and oral advocacy skills; ability to prepare persuasive briefs and contracts that reflect business objectives.Excellent client-facing skills with the ability to translate complex legal concepts into practical business advice.High level of organization, ability to manage multiple matters and priorities, and experience supervising junior legal staff.Proficiency with practice management and document tools (e.g., Microsoft Office, document management, e-billing systems).Preferred: prior experience at a law firm or in-house counsel role serving startups, small business, or middle-market companies; business acumen and entrepreneurial mindset.BenefitsMedical insuranceVision insuranceDental insurance401(k) with 4% matchPaid maternity leavePerformance bonuses
