Latitude is recruiting an in-house corporate paralegal for one of its private equity clients that helps small and medium-sized business owner-operators scale their local businesses with the support of a national platform. This role is ideal for someone who takes initiative, especially with projects like overseeing entity management, maintaining cap tables, and administering corporate records. This is a full-time, hybrid (at least 3 days per week), direct hire opportunity. Latitude's client has offices in both Tampa Bay and New York, with a preference for candidates in the Tampa area. Position Summary The Paralegal will play an important role in providing comprehensive legal administrative support across various functions. This position requires a detail-oriented individual who can effectively manage processes, legal organization, and ensure compliance with regulatory requirements. The successful candidate will facilitate the seamless execution of legal tasks, from setting up data rooms to managing entity formations, filings, lien searches, researching, managing license / permit requirements, tracking legal document and legal workstream statuses in our tracking system, etc. This role presents an opportunity to contribute significantly to our firm's operations, growth, and success. Key Responsibilities Research and interpret LLC Operating agreements to prepare amendments, consents and changes. Manage real estate lease portfolios (abstracting and managing key dates). Maintain cap tables across multiple entities; general LLC maintenance and board support. Oversee profits interest incentive plan-related legal organization (incentive documents, 83b election filings, audit trails). Track and maintain entity formation and governance documents; manage Registered Agent platform; handle annual reports. Monitor and track Delaware LLC franchise taxes and similar filing requirements. Support with transaction-related workstreams (e.g., lien searches, background check management, obtain payoff letters, secure lien terminations, maintain records of transactional steps and legal org charts, etc.) and document management. Interface with third-party counsel with respect to transaction, filings, corporate matters, etc. Manage subpoena responses. Track legal deadlines and requirements. Review NDAs and vendor agreements. Be a team player, willing and energized to plug in wherever might be needed. Other duties as assigned. Position Requirements Minimum Previous experience in a paralegal role. Ability to work independently and collaboratively in a fast-paced environment. Exceptional attention to detail, accuracy in record-keeping, organizational skills, and ability to manage multiple projects simultaneously while maintaining data entry precision. Strong written and verbal communication and interpersonal skills. Ability to work collaboratively and be a team player in a team-oriented environment. Strong organizational and time management skills. Understanding of the "rules of service" and how to organize responsive documents. Knowledge of corporate structure, and ability to interpret company operating agreements. Proficiency in Microsoft Office Suite, particularly Excel. Preferred Bachelor's degree. Paralegal Certificate from an ABA-approved program or NALA/NFPA certification. 2-4 years of experience in a law firm or in-house legal department, specifically focusing on corporate maintenance or equity administration. Experience navigating the IRS website for SS-4 (EIN) applications and Secretary of State portals for filings. Familiarity with entity formations and filings and related software: CSC, CT Corp, or Diligent. Proficiency in using Airtable.com , Smartsheet, Monday.com , or similar project management tools. Ability to adapt to evolving legal and regulatory landscapes. Position Details of the In-House Corporate Paralegal: Type of role : Corporate Paralegal Schedule : Full-time Location : On-Site (Tampa or New York, with Tampa preferred) Compensation: Pay : The annualized pay for this position ranges from $90,000 to $110,000 when calculated on a full-time basis. This position is also eligible for a bonus of 10%-20%. Pay is based on multiple factors including but not limited to work experience, qualifications, credentials, and location.
