Compensation & Benefits

• Base Salary Range: $100,000-$140,000 DOE

• Benefits: Comprehensive benefits package including 401(k), profit sharing, and covered parking

Position Overview

Our client is seeking an experienced Corporate Paralegal to support attorneys in a Los Angeles-based corporate practice. This role focuses on corporate governance and transactional matters and is not litigation-oriented.

Qualifications

• 3-10+ years of corporate paralegal experience

• ABA-approved paralegal certificate required

• Law firm experience strongly preferred

• Experience supporting multiple attorneys and managing complex transactional workflows

Practice Areas Supported

• Mergers & acquisitions

• Private equity and venture capital

• Corporate governance and maintenance

• Securities (public and private)

• Corporate finance and licensing

Key Responsibilities

• Draft and review corporate organizational and transactional documents

• Assist with due diligence, including document review and disclosure schedules

• Maintain corporate minute books, stock ledgers, and entity records

• Prepare and file documents with the SEC, IRS, and Secretaries of State

• Prepare UCC financing statements and obtain EINs

• Support contract processes through execution

• Prepare corporate filings, reports, and statutory summaries

Preferred Experience

• Hands-on M&A and private equity transactions

• Corporate maintenance, including minute books and stock ledgers

• Multi-jurisdictional filings
