Senior Technology Paralegal

Our client, a leading global law firm, is seeking a Senior Technology Paralegal to support its dynamic corporate practice advising innovative technology companies, investors, and emerging growth businesses. This role offers hands-on involvement with sophisticated venture capital financings, M&A transactions, securities offerings, and corporate governance matters, while partnering closely with attorneys and clients on high-profile deals. The ideal candidate will bring demonstrated corporate paralegal experience, strong knowledge of SEC and Blue Sky filings, cap table management expertise with Carta or similar platforms, and the ability to thrive in a fast-paced, collaborative environment. What You Will Do:
Assist with all aspects of corporate creation, maintenance, and governance
Prepare SEC filings and related documents
Capitalization Table Management
Draft officer certificates
Conduct research on state and federal securities laws, and make relevant Blue Sky filings
Order and review certificates of good standing and corporate charters
Due Diligence review of documents and materials
Assist with various corporate transactions including M&A, venture capital transactions, and securities offerings
Conduct UCC searches and prepares UCC filings
Develop and implement best practices and AI use cases where appropriate
Who You Are:
BA/BS preferred
Demonstrated relevant experience
Paralegal Certificate required
Strong organizational and communication skills
High level of attention to detail
Capable of handling multiple responsibilities
Ability to work well in a team oriented environment
Advanced proficiency with Microsoft Word and Excel is required
Proficiency with Carta, or similar Cap Table Management software
Independent understanding of basic ideas and/or legal concepts involved with the types of matters likely to be assigned
Able to handle unexpected issues that arise during the course of a project
Effectively carries knowledge gained regarding how to perform a task or project to the next, similar project, with no re-explanation, and can at times apply this knowledge to different types of tasks in order to create efficiencies
Understands how clients' business needs relate to work assignments without explanation
Handles assignments involving complex matters or fact patterns with supervision from attorneys
Proactively stays informed regarding changes in the law pertaining to practice area
Firm culture is a hybrid work environment
Expected salary for this non-exempt role is $100,000 - $138,000, commensurate with experience, training, skills, qualifications, and other market factors.
