Job Summary:
This position provides corporate paralegal and governance support by preparing and maintaining legal documents and entity records, including minute books, state qualifications, and business licenses/filings.
Responsibilities:
Prepares basic legal and corporate governance documents, such as articles of incorporation, stock certificates, resolutions, consents, waivers and releases, closing papers and binders, pleadings, affidavits, contracts, etc.
Maintains and processes state qualifications and other business licenses and filings.
Assists with mergers and acquisitions, preparation of closing documents and binders.
Performs other clerical duties, such as scheduling appointments, composing and typing routine correspondence, filing, reading and routing incoming mail as well as providing information to callers and making travel arrangements.
Assists with legal training and other compliance initiatives.
Maintains corporate minute books for all subsidiaries.
Maintains calendar for follow up of annual filings and payment of dues and subscriptions.
Contributes to process improvements, templates and tools that enhance the teams efficiencies.
Other duties as assigned.
Requirements:
Bachelor's degree (B.A.) from four-year college or university and/or 10 plus years related experience, or equivalent combination of education and experience.
Paralegal Certification preferable.
Notary commission preferable.
Excellent written and verbal communication skills.
Highly organized with ability to multitask.
Ability to handle highly confidential and sensitive information appropriately.
Comfortable with various software programs, i.e. Microsoft Office (Word, PowerPoint, Excel), databases and AI.
Identifies and resolves problems in a timely manner.
