Job summary
MLT Aikins is looking for a strong, experienced corporate paralegal to join our team and work with our growing client base. The ideal candidate will have good practical training, experience from a busy corporate practice at a business law firm and will have graduated from a recognized paralegal training course (equivalencies will be considered).
Candidates must be able to multi-task and prioritize a workload, pay attention to detail and have excellent organizational, communication and written skills. This is a client-based environment, and the corporate department works directly with lawyers on transactions across the firm. The candidate must be able to take instruction, understand basic corporate transactions and work independently to provide draft documentation.
Responsibilities include:
Attending to CORES Level I, II and III online filings with Alberta Corporate Registry and online filings with Corporations Canada
Drafting and filing legal documents for transactions including amalgamations, continuances, incorporations/organizations, amendments, dissolutions, revivals, reorganizations, extra-provincial registrations, partnerships, trade names, change filings and other transactional related documents
Conducting minute book reviews and preparing documents to correct minute book deficiencies
Conducting and reviewing corporate searches
Responding to daily inquiries from lawyers and clients; handling day-to-day corporate matters
Updating and maintaining corporate records and ensuring documents comply with the applicable legislation and are entered into the database
Qualifications include:
Graduate of a recognized legal assistant/paralegal diploma or equivalent
Minimum of eight years of experience in a corporate paralegal role
Minimum CORES (Level III) certification with advanced knowledge
Reference to a strong working knowledge of the ABCA, CBCA, Partnership Act, Societies Act, Companies Act and Canada Not-for-profit Corporations Act
Solid knowledge of drafting transactional documents
Proficient in ALF
Ability to work in a fast-past environment
Team player with willingness to collaborate with others on the team and mentor juniors
Must be analytical and possess the ability to apply concepts
