Commercial Lawyer - Mining Industry Location: Tucson, AZ (Hybrid onsite schedule) About the Role We are seeking an experienced lawyer with strong commercial agreements and transactional experience to support operations and strategic initiatives within the mining industry. This role will focus on drafting, negotiating, and advising on a broad range of commercial and projectrelated agreements across the lifecycle of mining operations. The ideal candidate brings a practical, businessoriented approach and is comfortable working closely with internal stakeholders, joint venture partners, and external counsel in a fastpaced, technically complex environment. Key Responsibilities Draft, review, negotiate, and advise on a wide range of commercial agreements, including: Mineral and land access agreements Joint ventures and strategic alliances Offtake, supply, and service agreements EPC, construction, and logistics contracts Confidentiality, consulting, and framework agreements Support transactional matters such as acquisitions, divestments, farmins/farmouts, and project financings. Provide legal advice on contractual risk allocation, liability, indemnities, and dispute management. Work closely with commercial, technical, procurement, and project teams to support mining and development activities. Manage external counsel and support due diligence for transactions and major projects. Contribute to the development and improvement of contract templates, playbooks, and internal processes. Monitor and advise on legal issues impacting commercial operations within the mining sector. Qualifications & Experience Law degree and admission to practice in a relevant jurisdiction. 3-5+ years of postqualification experience (law firm and/or inhouse). Demonstrated experience advising on commercial agreements and transactions, preferably within the mining, natural resources, energy, or infrastructure sectors. Strong drafting and negotiation skills with the ability to manage complex, multiparty agreements. Sound understanding of mining project structures, joint ventures, and supply chains. Ability to work independently and manage multiple matters simultaneously. Strong commercial judgment and stakeholder management skills.
