The Corporate Paralegal/Legal Specialist plays a critical role in supporting the legal and compliance functions across a global organization. - Maintain entity records and corporate data, including global subsidiaries
- Support Know Your Customer (KYC), beneficial ownership, and other regulatory information requests
- Coordinate board and shareholder actions, including resolutions, minutes, and annual filings
- Assist with corporate secretarial functions and compliance with jurisdictional requirements
Legal Operations
- Support day-to-day operations of the in-house legal department
- Assist in developing and improving legal processes, policies, and standard operating procedures
- Manage relationships with external counsel and legal vendors
- Support deployment and use of technology
Contract Management
- Draft, review, and revise a range of legal documents, including NDAs, vendor agreements, customer contracts, and internal policies and training materials
- Track contract lifecycle from initiation through execution and renewal
- Ensure contracts comply with internal policies and risk guidelines
- Partner with business stakeholders to facilitate timely contract execution
- Maintain organized contract databases and reporting metrics
Compliance & Risk Management
- Support corporate compliance initiatives, including policy development and training programs
- Assist with internal audits, regulatory inquiries, and risk assessments
- Help maintain compliance program aligned with applicable laws and industry standards.
- Promote a culture of ethical business practices and accountability
Transaction Support
- Assist with corporate transactions, including mergers and acquisitions, reorganizations, and financing
- Coordinate due diligence processes, including document collection and review
- Prepare and organize transaction documentation and closing materials
- Collaborate with cross-functional teams to support integration efforts
