The Corporate Paralegal/Legal Specialist plays a critical role in supporting the legal and compliance functions across a global organization. This position partners closely with internal stakeholders-including legal, finance, HR, and operations-to ensure efficient legal and business processes, responsible corporate governance, and effective risk management.This role is ideal for a detail-oriented professional who thrives in a fast-paced, technology-driven environment and is eager to contribute to a modern, scalable legal function.Corporate Governance

  • Maintain entity records and corporate data, including global subsidiaries
  • Support Know Your Customer (KYC), beneficial ownership, and other regulatory information requests
  • Coordinate board and shareholder actions, including resolutions, minutes, and annual filings
  • Assist with corporate secretarial functions and compliance with jurisdictional requirements

Legal Operations

  • Support day-to-day operations of the in-house legal department
  • Assist in developing and improving legal processes, policies, and standard operating procedures
  • Manage relationships with external counsel and legal vendors
  • Support deployment and use of technology

Contract Management

  • Draft, review, and revise a range of legal documents, including NDAs, vendor agreements, customer contracts, and internal policies and training materials
  • Track contract lifecycle from initiation through execution and renewal
  • Ensure contracts comply with internal policies and risk guidelines
  • Partner with business stakeholders to facilitate timely contract execution
  • Maintain organized contract databases and reporting metrics

Compliance & Risk Management

  • Support corporate compliance initiatives, including policy development and training programs
  • Assist with internal audits, regulatory inquiries, and risk assessments
  • Help maintain compliance program aligned with applicable laws and industry standards.
  • Promote a culture of ethical business practices and accountability

Transaction Support

  • Assist with corporate transactions, including mergers and acquisitions, reorganizations, and financing
  • Coordinate due diligence processes, including document collection and review
  • Prepare and organize transaction documentation and closing materials
  • Collaborate with cross-functional teams to support integration efforts
