A law firm is seeking a Corporate Transactions Paralegal to support attorneys in corporate and commercial transactions, including mergers and acquisitions.

Key Responsibilities

• Prepare and file corporate documents (entity formations, foreign qualifications, amendments)
• Support M&A transactions from due diligence through closing and post-closing
• Conduct UCC searches and assist with regulatory filings
• Prepare closing checklists, signature packets, and organize executed documents
• Manage data rooms and maintain corporate and transaction records
• Coordinate with attorneys, clients, and third parties to support timely closings

Qualifications

• 3+ years of paralegal experience in a law firm or professional services environment
• Experience with corporate transactions and M&A preferred
