Job Summary

The Senior Counsel position will be located in Columbus, Ohio, and will provide legal support, advice, and counsel to AEPs procurement and supply chain professionals and AEP businesses. The position is essential to AEPs ability to successfully execute its enterprise-wide procurement and supply chain strategy.

The Senior Counsel will be responsible for managing the review and negotiation of multiple procurement-related agreements, projects, and transactional matters, and identifying legal and business risks and corresponding solutions.

Applicants must possess strong communication and interpersonal skills, a good working knowledge of procurement contracting, and sound legal judgment, as well as a proven ability for initiative, creativity, and working independently of direct supervision, while being aligned with the goals of the AEP legal department.

The Senior Counsel position reports to the Associate General Counsel, Transactions, and works closely with the Assistant General Counsel responsible for legal support of AEPs procurement organization.

Job Description

What You'll Do:

  • Draft and negotiate agreements for the purchase of equipment, other goods, and services, technology agreements, EPC agreements, fuel procurement agreements, and other commercial agreements.
  • Provide legal advice and counsel to procurement professionals and AEP business leaders, including with respect to the legal requirements of proposed agreements and projects, identification and allocation of legal risk, compliance, vendor relationships, warranty claims, and credit risk.
  • Perform legal research regarding laws and regulations impacting the commercial agreements and projects supported.
  • Assist with other legal transactions and commercial agreements as needed.

Legal Requirements:

  • Solid understanding of procurement agreements and key issues to be negotiated.
  • Ability to lead follow-up on contractual issues, negotiate agreements with opposing counsel, and advise procurement professionals regarding same.
  • Solid understanding of procurement functions within a large organization such as AEP.
  • Big picture oriented, yet focus driven, with strong attention to detail.

Communication Skills:

  • Excellent oral and written communication skills.
  • Strong advocacy and negotiation skills.
  • Ability to communicate cross functionally with all business units.
  • Ability to relate to many different constituencies in a positive, proactive manner that will engender confidence from company management, procurement professionals, and attorney colleagues.
  • Problem solver coupled with good conflict resolution skills.
  • Extremely organized, self-starter, and results oriented.

What We're Looking For:

Senior Counsel (Grade 10)

Education:

  • Juris Doctor (J.D.) degree from an accredited US law school

Experience:

  • 5+ years of legal experience, preferably in a law firm or corporate legal department and in the electric utility or energy sector.
  • Admission to practice in one or more states.

Senior Counsel (Grade 11)

Education:

  • Juris Doctor (J.D.) degree from an accredited US law school

Experience:

  • 7+ years of legal experience, preferably in a law firm or corporate legal department and in the electric utility or energy sector.
  • Admission to practice in one or more states.

Where You'll Work:

  • This positions primary work location will be AEP Headquarters in Columbus, Ohio.
  • The position will be expected to be in the office 5 days a week.

Compensation:

  • Based on education, experience, and interview, this opportunity will be filled commensurately at salary grades 10 or 11 in the Sr. Counsel job family.

Compensation Grade:

Compensation Range:

$132,562.00-172,331.00 USD
