Job Summary

The ideal candidate will have significant experience in public and private securities offerings, Securities and Exchange Commission (SEC) periodic and current reporting, derivatives, and corporate governance. The ideal candidate will have a strong background in SEC reporting and drafting and negotiating a variety of financing agreements. This role requires an independent, detail-oriented professional capable of managing complex transactions while collaborating with internal and external stakeholders.

Job Description

We are seeking an experienced and highly motivated corporate finance and compliance attorney to join our in-house legal team.

What Youll Do:

  • Draft, negotiate, and review a variety of financing agreements, including indentures, note purchase agreements, and syndicated loan agreements.

  • Draft and review registration statements, prospectuses, proxy statements, and other securities-related documents.

  • Assist in the preparation of filings with the SEC and other Federal and State regulatory bodies.

  • Advise business partners on compliance with federal and state securities laws and regulations.

  • Ensure compliance with corporate governance standards and policies.

  • Provide practical, business-focused legal advice and partner with internal business teams to facilitate sound decision-making.

  • Assess, analyze, and mitigate legal risks associated with transactions and advise on risk management strategies.

  • Manage multiple projects and priorities independently while ensuring deadlines and business objectives are met.

This posting represents multiple positions that offer a range of opportunities for advancement. The minimum qualifications outlined below apply to the Senior Counsel Grade 10, with increased requirements for the Senior Counsel Grade 11.

What Were Looking For:

Education Requirements : Juris Doctor (J.D.) degree from an accredited US law school.

Work Experience: 5+ years of legal experience, preferably in a law firm or corporate legal department and in the electric utility or energy sector.

Other Must Haves:

Legal & Regulatory Requirements:

  • Strong understanding of Securities Act of 1933 and Securities and Exchange Act of 1934.

  • Significant experience with corporate governance and compliance issues.

Communication Skills:

  • Excellent oral and written communication skills.

  • Ability to communicate cross functionally with all business units.

$132,562.00-172,331.00 USD
