Job Description

Fast-growing boutique law firm is looking for an experienced corporate transactions attorney who is excited to work with early-stage companies in a very flexible work environment (effectively 100% remote). The firm has a very strong pipeline of client projects and needs an attorney who can run point on such projects with little assistance.

Position Details:

  • Time Commitment: The position is not meant for a person who is looking to work just 40 hours a week. At times, the amount of work will be high, demanding, and fast-paced. Night and weekend work may be required.
  • Work Location: The position is 100% remote. The firm does not have an office and has no intention of working out of an office.
  • Location: Anywhere that has a solid Internet connection.
  • Pay Rate: $150,000 - $180,000 base, depending on skill and experience, plus $30,000 - $70,000 target bonus (based on meeting billable hour targets). We are a small firm, so there is room to quickly grow.
  • Primary Responsibilities: Deal structuring, document drafting and negotiation, project management, client communication, preparation and submission of corporate filings, and related tasks.
  • Time Expectations: ~1200 billable hours annually, plus time dedicated to firm administration and organizational projects.

Qualifications:

  • Experience working on corporate, start-up, venture capital, and/or M&A transactions is preferred. The ideal candidate will have experience with and an understanding of SAFEs and DGCL 204 ratification.
  • Driven, resourceful, and have a passion for working with early-stage companies.
  • Ideally 3+ years of experience working on corporate, start-up, venture capital, and/or M&A transactions.
  • Active license to practice law.
  • Able to prioritize tasks, manage projects, and maintain communication with clients.
  • Must be independent, self-directed, organized, and diligent.
  • Exceptional interpersonal skills, a commitment to professionalism, integrity, and the ability to work on a wide range of legal matters.
  • Must be flexible in order to respond quickly to shifting demands and opportunities and be able to work with minimal supervision.
  • Must be able to work under tight deadlines, handle multiple detailed tasks simultaneously, prioritize appropriately, and delegate to resources available.
  • Must be able to anticipate problems and issues and exercise independent judgment to make sound justifiable decisions, and take action in solving problems while knowing when to escalate issues.
