Responsible for ensuring enterprise compliance with the federal securities laws and state corporate laws as well as NYSE rules and other similar corporate regulations. Will act as the lead in-house counsel on all securities filings (e.g. 10K, proxy, 10Qs, annual report). Will oversee corporate entity maintenance globally with the support of the corporate paralegal and global entity management system database (GEMS). Will prepare board meeting materials and resolutions in support of the General Counsel and Corporate Secretary. Will act as primary in-house counsel to the Corporate Development team’s merger, acquisition and joint venture activities. Will assist with the administration of corporate policies (e.g. Insider Trading Statement). Essential Functions 35% Federal securities laws, state corporate law and stock exchange rule compliance. Also assist with securities registrations and debt refinancings from time to time. 20% Provide legal support on acquisitions, divestitures, mergers, joint ventures and strategic alliances.
