Job Details Corporate Counsel III Job ID #: 4220 Location: Greenwood, IN Functional Category:Legal Business Unit Description: Employment Type: Full Time - Regular Education Required: Juris Doctor Experience Required: 7 - 10 Years Relocation Provided: Yes Shift: Hours of Work: Primary Role To provide legal counsel and representation to the Indiana, Michigan and Ohio leadership teams on a variety of legal risks and opportunities, (regulation, litigation, employment, labor, corporate governance, business development, environmental, etc.) and other business matters. Key Accountabilities Provide advice and counsel on a pro-active basis to executives, senior managers and employees in Indiana, Michigan and Ohio in respect to legal issues affecting the business; provide legal assistance to Business Development Team in those states (e.g., acquisitions, contract operations). Handle all aspects of day-to-day business contracts, agreements, including negotiating, drafting and interpreting long-term water franchise and supply, service, financing and other business agreements. Becomes acquainted with legal expertise within the American Water Law Department and consistently calls on it to asist. Budget for, and supervise and be accountale for the performance of outside counsel by maximizing the quality, cost and efficiency of outside legal services. Be a business partner and a member of the management team being proactive in learning about all aspects of the business and the regulatory process. Support the Divisional General Counsel in building the capabilities of the functional legal team. Being a valued member of the national AWW Legal team and a team player. Proactively provide support and advice with respect to general corporate governance for the Indiana, Ohio and Michigan subsidiaries, including: drafting resolutions, consents, and minutes for each entity's board of directors; internal and external policy compliance, assisting Treasury with financing covenant compliance, and being responsible for FASB 5 reporting requirements and other required corporate reporting. Assist, direct and participate in judicial and administrative proceedings, for specific items as required. Such matters include but are not limited to general litigation, public utility commission rate cases and other matters, mediations, arbitrations, hearings, and other dispute resolution proceedings. Provide any required internal legal, risk management, or compliance reports. Maintain a high level of professional ethics, compliance, and continuing professional development. Negotiate, prepare and review all contracts and other legal documents negotiated, prepare and review all contracts and other legal documents to ensure that the best interests of the business are protected.
