Senior Counsel

International health products manufacturer located in the central shore area of New Jersey seeks a talented corporate/commercial generalist for a full-time Senior Counsel position to report to the General Counsel in their growing Law Department.

Reporting to the General Counsel, the Senior Counsel will support the needs of the business in delivering timely, cost-effective, and value-adding legal services to management and employees. Essential job functions will include but not be limited to:

Providing advice to executives and managers on a wide-variety of business issues.

General corporate and commercial work including M&A projects, drafting and negotiating technology, license, supply, purchase, distribution, consulting, lease, confidentiality and other agreements.

HR-related work assisting with labor and employment/benefits matters.

Litigation management and reporting.

Oversight/administration of corporation's global compliance program.

Service legal-entity structure by providing Corporate Secretary services such as managing minutes of executive meetings, etc.

REQUIREMENTS:

Education:

Juris Doctor (or equivalent law degree); licensed to practice law in NJ, or qualify for limited in-house counsel license

Experience:

7+ years corporate/commercial experience, preferably including some international experience.

Working knowledge of corporate compliance programs

Familiarity with FDA medical device regulations and other highly regulated business activities is a plus.

Litigation, IP, employee benefits experience will be a plus.

Ability to interact effectively with all levels of management and individuals from various countries/cultures.

Ability to effectively translate legal requirements that affect business opportunities and challenges.

The role of the Tax function is to continually optimize the BP's tax position, provide assurance that all tax requirements are met everywhere we operate and to provide a strategic tax planning service for all Group and Business activities. Our purpose is to comply with all legal requirements in the taxing jurisdictions in which the Group operates in a way that will optimize the Group's tax position.

To achieve this, we have a strategy to seek maximum efficiency in compliance activities while performing an assurance role, maintain active relationships with the Businesses to ensure that there is a mutual understanding of their operations and associated tax issues, and to work proactively to seek beneficial change or avoid detrimental change in tax legislation.

The candidate will report to the Manager of Employment Tax. As a member of the U.S. Employment Tax Group, this individual will be engaged in federal and state income tax research and planning and advising on taxability and timing of compensation and tax controversy issues.

Essential criteria & qualifications 1. Strong oral and written communication skills.
2. Proficiency in performing electronic tax research.
3. Minimum 4 years experience in employment taxes in a corporate tax department, accounting firm, and/or law firm.
4. Law degree from accredited U.S. law school preferred.

Real Estate Attorney Needed – Atlanta Based

Developer/Construction Company from the Middle East is rolling out 500 stores on 10 acres over the next 5 years. Developer seeks Senior Real Estate Attorney to negotiate site acquisitions and all entitlements. CANDIDATE MUST BE A CLOSER. Candidate will help build a legal department in the United States.

Petroleum retail background helpful for getting entitlement to build 20 pump gas station as part of concept. Attorney must have minimum 15 years experience in retail shopping center space. All references and quality of work will be checked. Candidate must be able to simultaneously negotiate many deals AND BE A SELF STARTER.

Must be licensed to practice law in the State of Georgia and be admitted to federal court.

Travel Channel Media - Director, Legal Affairs

Position Summary:
Serve as legal counsel to Travel Channel Media (TCM), with a primary focus on the negotiation and drafting of the business and legal terms of a variety of TCM's agreements, and advice and counsel to TCM's various business units.

Responsibilities:
1. Negotiate and draft a variety of term sheets and agreements, including affiliation, licensing, new media, marketing, software license and other technical agreements, as well as programming and talent agreements.
2. Act as the primary Legal Affairs point of contact for TCM's Marketing department, negotiating and drafting their non-production agreements, and providing advice and counsel on their campaigns (including handling all legal aspects of sweepstakes and contests).
3. Work with VP and outside counsel to manage TCM's trademark portfolio.
4. Work within Legal Affairs and with TCM's Content department to manage standards and practices issues (including conducting pre-publication review as necessary).
5. Work with VP, Cox colleagues and industry colleagues to handle relevant public policy issues.
6. Other ad hoc tasks as assigned.

Requirements:
*JD from an ABA-accredited law school and Bar admission.
*Minimum of 5-7 years of legal experience in the media industry (preferably at a television company) and/or law firm experience.
*Strong intellectual property background, particularly in trademark law and licensing.
*Solid knowledge of sweepstakes/contests/promotions law, as well as privacy law and other new media issues.
*Experience negotiating with multiple system operators a plus.
*Familiarity with standards and practices issues and relevant public policy issues a plus.
*Excellent oral and written communications skills (including negotiation and drafting skills).
*Strong analytical skills, and good judgment and decision-making ability.
*A demonstrated ability to effectively and efficiently manage a varied and high-volume workload in a fast-paced, customer service-oriented environment that is continually evolving.
* Experience with Microsoft Office and other software applications, and overall comfort with technology.
